Please read these Terms of Service carefully before using busyexpand.com or engaging Busyexpand for any service. These Terms govern the relationship between you (the client or user) and Busyexpand (the company).
If something is unclear, do not hesitate to reach out before you engage us. We would rather explain something upfront than have a disagreement later.
Acceptance of Terms
Agreement to Terms
By accessing busyexpand.com, creating an account, or engaging Busyexpand for any service, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use our services. We reserve the right to verify age and identity where required.
Changes to Terms
Busyexpand may revise these Terms at any time. We will post the updated version on this page with a revised date and, for material changes, notify registered users by email at least 14 days before the change takes effect. Continued use of our services after that date constitutes acceptance of the revised Terms.
Our Services
Scope of Services
Busyexpand provides web design, web development, mobile application development, UI/UX design, and related digital services as described on our Services page. The exact deliverables, timelines, and fees for each engagement are set out in a separate Service Agreement or project proposal agreed between you and Busyexpand.
Service Plans
Some services are offered on tiered plan structures with defined scope. By selecting a plan, you agree to the specific deliverables and pricing described for that plan at the time of purchase. Busyexpand reserves the right to update plan offerings; existing contracted plans will be honoured at the terms agreed at the time of purchase.
Availability
We strive to maintain continuous availability of our platform and client dashboard, but we do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, and events beyond our control may temporarily affect service availability. We will endeavour to give advance notice of planned downtime.
Accounts & Registration
Account Responsibility
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@busyexpand.com if you suspect unauthorised access to your account.
Accurate Information
You agree to provide accurate, current, and complete information when registering and to keep this information up to date. We may suspend or terminate accounts that contain false or misleading information.
Account Termination
You may close your account at any time by contacting us. We may suspend or terminate your account if you breach these Terms, fail to pay outstanding invoices after reasonable notice, or use our platform in a way that could harm Busyexpand, other users, or third parties.
Payment & Billing
Fees
All fees are set out in your project proposal or selected plan. Prices are quoted in Nigerian Naira (NGN) unless otherwise stated. Busyexpand reserves the right to adjust pricing with 30 days notice. Changes will not affect ongoing contracted projects.
Payment Terms
Unless otherwise specified in your project agreement, Busyexpand requires a deposit (typically 50% of the total project fee) before work commences, with the balance due on delivery or as agreed in instalments. Work will not commence, and deliverables will not be released, until corresponding payments are received and cleared.
Late Payment
Invoices are payable within the timeframe stated. Late payments may attract interest at 5% per month on the outstanding balance and may result in a pause to active project work until the account is settled.
Refunds
Deposits are non-refundable once work has commenced, as they cover planning, research, and initial design costs. If Busyexpand fails to deliver the agreed scope without reasonable justification, a proportional refund of fees paid for undelivered work may be considered at our discretion. All refund requests must be submitted in writing within 14 days of the disputed event.
Intellectual Property
Client Ownership of Deliverables
Upon receipt of full payment for a project, Busyexpand assigns to you all ownership rights in the custom deliverables created specifically for that project, including design files, source code, and written content. This assignment does not include third-party components, open-source libraries, or pre-existing Busyexpand tools and frameworks.
Busyexpand Platform & Tools
The busyexpand.com website, our internal tools, frameworks, templates, and any components not specifically commissioned for your project remain the sole intellectual property of Busyexpand. These may not be copied, distributed, or reverse-engineered without our written consent.
Portfolio Rights
Unless you request otherwise in writing, Busyexpand reserves the right to feature completed client work in our portfolio, case studies, and promotional materials. We will never disclose confidential business information without explicit permission.
Your Content
You retain all ownership of content, data, logos, and assets you provide to us. By providing this material, you grant Busyexpand a non-exclusive licence to use it solely for the purpose of delivering your project.
Confidentiality
Mutual Obligations
Both parties agree to keep confidential any proprietary, technical, financial, or business information disclosed during the engagement ('Confidential Information') and not to disclose it to any third party without prior written consent. This obligation survives the termination of any project agreement for a period of two years.
Exclusions
Confidentiality obligations do not apply to information that is or becomes publicly known through no breach of these Terms, that was independently developed without use of Confidential Information, or that is required to be disclosed by law or court order.
Acceptable Use
Prohibited Activities
You agree not to use Busyexpand's services or platform to: upload or transmit malware or malicious code; attempt to gain unauthorised access to our systems or those of third parties; engage in fraudulent, deceptive, or illegal activities; infringe any third-party intellectual property rights; send unsolicited bulk communications (spam); or harass, threaten, or harm any person.
Content Standards
Any content you ask us to create or host must comply with applicable Nigerian and international law. We reserve the right to decline projects that involve illegal content, content that promotes violence or discrimination, or content that we believe in good faith could cause harm.
Limitation of Liability
Disclaimer of Warranties
Our services are provided 'as is' and 'as available'. To the fullest extent permitted by law, Busyexpand disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be error-free or uninterrupted.
Limitation of Damages
To the fullest extent permitted by applicable law, Busyexpand's total liability to you for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you to Busyexpand in the three months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity.
Force Majeure
Busyexpand shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including acts of God, government actions, internet outages, cyberattacks, or industrial disputes.
Dispute Resolution
Good Faith Resolution
We encourage all disputes to be resolved amicably. Please contact us at legal@busyexpand.com describing the issue in detail. We will endeavour to respond within 5 business days and work with you in good faith toward a resolution.
Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
Termination
By You
You may terminate a project engagement with 14 days written notice. Fees for work completed up to the termination date are non-refundable. Work-in-progress files will be released to you upon settlement of all outstanding invoices.
By Busyexpand
We may terminate or suspend your account and any active projects immediately, without liability, if you breach any material term of these Terms, engage in fraudulent behaviour, or fail to pay outstanding invoices after written notice and a 7-day cure period.
Effect of Termination
On termination, all licences granted to you under these Terms cease immediately. Sections relating to payment for work completed, intellectual property ownership of paid deliverables, confidentiality, limitation of liability, and dispute resolution survive termination.
General Provisions
Entire Agreement
These Terms of Service, together with our Privacy Policy and any project-specific Service Agreement, constitute the entire agreement between you and Busyexpand with respect to our services, and supersede all prior agreements and understandings.
Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
